Brack Capital Real Estate B.V. makes a conditional public cash offer for all the ordinary issued and outstanding shares with a nominal value of EUR 8 each in the capital of Haslemere N.V., excluding such shares directly or indirectly held by Haslemere for its own account, plus so many of such shares directly or indirectly held by Haslemere for its own account as are delivered pursuant to the exercising of any of the 130,673 outstanding options.
The Haslemere Shares have a primary listing on Euronext Amsterdam, a secondary listing on the London Stock Exchange and the Frankfurt Stock Exchange and are listed on the Marché Libre in Paris. On 18 April 2002 the Offer will be discussed at the annual general meeting of shareholders of Haslemere.
The Offer
Holders of Haslemere Shares who accept the Offer shall, if the Offer is honoured, receive an amount of EUR 63.75 in cash cum dividend per Haslemere Share. The Offer is subject to a number of conditions, which are set out in the offer document dated 28 March 2002.
The Offer Acceptance Period
Haslemere Shareholders can tender their Haslemere Shares from 2 April 2002 until 26 April 2002 at 15.00 hours Central European Time, subject to any extension of the Offer Acceptance Period. Ultimately, subject to any extension of the Offer Acceptance Period, on 3 May 2002, Brack Capital will announce whether or not it honours the Offer.
If the Offer Acceptance Period is extended, Brack Capital will announce whether or not it honours the Offer no later than the fifth Euronext trading day following the day on which the extended Offer Acceptance Period is closed.
The Acceptance of Haslemere Shares
Holders of Haslemere Shares who have their shares in administration with a bank or stockbroker should make their acceptance of the Offer known through their bank or stockbroker to ABN AMRO Bank N.V., Amsterdam taking into account the Offer Acceptance Period.
Payment of consideration
In the event that Brack Capital honours the Offer, payment of the cash consideration to the holders of Haslemere Shares who tendered and delivered their Haslemere Shares will be completed no later than the third Euronext trading day after the day on which the Offer has been honoured.
