Rodamco Europe N.V. and Unibail Holding S.A. jointly confirm that the preparations for the Exchange Offer by Unibail for all outstanding shares of Rodamco are in a very advanced stage. Unibail believes it will be in a position to make the Exchange Offer within the next two weeks.
Following the first announcement of the contemplated Exchange Offer on 10 April 2007, the draft offer document has been filed with the Dutch Autoriteit Financiële Markten, the prospectus regarding the Unibail shares and bonds redeemable for shares ("ORA"s) to be issued in exchange for tendered Rodamco shares has been filed with the French Autorité des Marchés Financiers and the Dutch certain funds rule has been satisfied. The Exchange Offer will be launched when the competent authorities have approved the offer document and the prospectus and other regulatory clearances have been obtained.
