With reference to the advertisements dated 15 and 16 March 2002 and 12 April 2002 and the offer document dated 15 March 2002 Grupo Dragados, S.A. and Hollandsche Beton Groep nv jointly announce that the second acceptance period in the public offer by Dragados for all outstanding ordinary shares in HBG has ended on 25 April 2002, 15.00 hours Dutch time.
Upon the end of the second acceptance period, a total of 35.492.997 ordinary shares in the share capital of HBG has been tendered for acceptance. Upon acquisition of the Shares which have been tendered in the second acceptance period, Dragados will in total hold approximately 99.7% of the Shares held by other parties than HBG.
On 29 April 2002 payment of €21.25 for each tendered and settled Share during the second acceptance period will be made in accordance with the conditions mentioned in the Offer Document.
