The offering of Société Foncière Lyonnaise (SFL) ordinary shares in the form of a private placement to institutional investors in France and internationally by Inmobiliaria Colonial SA and SFL has been priced at â¬40.50 per share.
The offering consisted of 2,579,505 million SFL shares, representing 6% of the outstanding share capital of the company held by Colonial and 671,854 of its own shares held by SFL and acquired prior to October 13, 2004. All of the shares offered were sold.
With this transaction, Colonialâs current ownership interest in SFL decreases from approximately 85.5% to approximately 79.5%.
Mr. Juan José Brugera, CEO of Colonial, and Mr. Yves Mansion, CEO of SFL, indicated: âThese transactions will very significantly increase the float and the liquidity of SFL shares.â
The offering was managed by J.P. Morgan Securities Ltd. as sole bookrunner.
